Overview

Portia S. Keady is a partner in the firm's Corporate and Business Law practice. She advises clients on a broad range of corporate and securities matters, including mergers and acquisitions, asset and equity purchase transactions, corporate governance, licensing matters, escrow arrangements, and due diligence.

Portia represents early-stage growth companies, mature businesses, family offices and investment firms in venture-backed financings and strategic transactions. She regularly counsels clients on day-to-day corporate matters, including corporate strategy, entity formation and structuring, governance, and succession planning.

Her experience spans a wide range of industries, including food and beverage, food service, manufacturing, technology, artificial intelligence, software, and professional services. She also advises food and beverage clients on liquor licensing and related regulatory matters.

Represented a privately held specialty food manufacturer and distributor in the sale of all of its assets for $8,000,000

Represented privately held provider of freshly prepared, high quality meals for the business dining and education markets in the sale of all of its equity securities for $16,000,000

Represented the leader in chemical recycling of post-use plastics back into polymers, chemicals, and low carbon fuels, in connection with securing growth financing from a diverse set of European investors led by Carnegie Investment Bank

Represented a large Massachusetts fitness franchisee in connection with the sale of all of its clubs

Represented a leading provider of lead generation, data analytics, and prospecting solutions for the insurance industry in its acquisition by a leading insurtech platform focused on agency growth 

Represented a U.S.-based engineering services company providing modeling and analysis, electronic prototyping, research and development, and forensic engineering services in its acquisition by a Paris-based global manufacturer of industrial, automotive, and consumer rubber products

Represented a New Hampshire-based provider of outside plant services for the telecommunications industry in its merger with a provider of critical infrastructure services

Represented a provider of energy benchmarking and sustainability analytics software for multifamily and commercial real estate portfolios in the sale of substantially all of its assets to a publicly traded proptech and legal software company 

Represented privately held sales and marketing company serving the food, pharmaceutical, nutritional, personal care, biotech, and industrial markets of North America in the sale of all of its equity securities for $105,000,000

Represented privately held fiber-optic bandwidth infrastructure service provider in the sale of all of its equity securities for $45,000,000
