Overview

Gretchen Blauvelt-Marquez counsels publicly traded and privately held companies, including portfolio companies, sponsors, underwriters and investment banks in public and private offerings of debt and equity securities. She represents buyers and sellers in structuring and negotiating complex mergers and acquisitions, including roll-ups, divestitures, leveraged buy-outs, stock and asset acquisitions and dispositions, and corporate reorganizations. Gretchen advises boards of directors, board committees and senior management with respect to corporate governance and compliance with public reporting responsibilities, including registration statements, periodic and current reports, proxy statements and Section 16 filings with the Securities and Exchange Commission (SEC), duties under the Sarbanes-Oxley Act and requirements of the New York Stock Exchange (NYSE) and the Nasdaq Stock Market.

Gretchen's experience includes representing issuers, underwriters and selling stockholders in initial public offerings, follow-on offerings, high yield and investment grade debt issuances, preferred stock transactions, tender offers, consent solicitations and refinancings. She has advised debtors on in- and out-of-court restructuring transactions, including structuring and negotiating complex exchange offers. Gretchen has represented lenders and borrowers in connection with credit facilities, including acquisition financings, exit facilities and asset-backed lending.

Represents NYSE- and Nasdaq-listed companies in connection with public company reporting obligations and funds in connection with Section 13 and Section 16 reporting

Represented a large, Nasdaq-listed communications company in connection with high-yield and investment-grade debt offerings, tender offers and redemptions

Represented a private equity firm and its portfolio companies in connection with preferred stock issuances to finance leveraged buyouts

Represented a Nasdaq-listed education services company in connection with its acquisition of another Nasdaq-listed company

Represented a NYSE-listed brewer in connection with USD-, euro- and CAD-denominated debt offerings

Represented underwriters in connection with multiple public offerings of senior notes by NYSE-listed oil and gas exploration and production company

Represented a privately held aerospace and metal coatings company in an out-of-court restructuring involving the exchange of existing senior notes for new equity securities and warrants and a new offering of equity
